Please read these Terms and Conditions carefully before using our website and services. By creating an account or using Soulmatesclub.com (the “Service”), you agree to be bound by this legal contract. If you do not agree to all of these terms, you must not access or use the Service.

1. Eligibility and Account Security

• Age Requirement: You must be at least 18 years of age to create an account and use the Service. By registering, you warrant that you meet this requirement.
• Single Account: You are strictly prohibited from creating more than one personal account or impersonating any other person.
• Credential Security: You are solely responsible for maintaining the confidentiality of your password and for all activities that occur under your account.
• No Background Checks: Soulmatesclub.com does not conduct criminal background checks or verify the identity of its users. You assume all risks when interacting with other members.

2. User Conduct and Content License

Prohibited Conduct. By creating an account you agree to host content and interact with other members responsibly. You are strictly prohibited from posting, transmitting, or sharing any material that is unlawful, harassing, defamatory, abusive, obscene, racially or ethnically offensive, or that promotes commercial scams, prostitution, or solicitation, and from harassing, abusing, defrauding, posting pornographic content, spreading hate speech, or using the platform for prostitution or commercial solicitation of any kind.

Content License. By uploading photos, text, or profile information, you grant Soulmatesclub.com a worldwide, perpetual, royalty-free, irrevocable, and fully sublicensable right and license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of operating and promoting the Service.

Moderation Rights. Soulmatesclub.com reserves the absolute right, though not the obligation, to pre-screen, monitor, review, block, or permanently delete any profile or user content at any time and for any reason, at our sole discretion and without prior notice.

Our Community Guidelines form part of these Terms.

3. Subscriptions and Payment Terms

• Automatic Renewal: All premium or paid services will automatically renew for identical periods as originally contracted, unless you cancel your subscription prior to the billing date.
• No-Refund Policy: Unless applicable local law mandates otherwise, all payments made are non-refundable, and no credits will be issued for partially used subscription periods.
• Price Modifications: Soulmatesclub.com reserves the right to adjust subscription fees at any time, providing affected users with reasonable advance notice.

4. Limitation of Liability

• “As-Is” Service: Soulmatesclub.com provides the platform strictly on an “as-is” and “as-available” basis, without warranties of any kind regarding compatibility or matchmaking success.
• Exclusion of Indirect Damages: To the maximum extent permitted by applicable law, in no event shall Soulmatesclub.com, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, loss of profits, data, use, goodwill, or other intangible losses resulting from (i) your access to or use of, or inability to access or use, the Service; (ii) the conduct or content of other users or third parties on or through the Service; or (iii) unauthorized access, use, or alteration of your transmissions or content.
• Offline Interactions: Soulmatesclub.com does not conduct criminal background checks on its users and explicitly disclaims all legal liability for physical meetings, dates, or any other interactions, conduct, actions, or omissions of any member that take place outside our digital platform.
• Maximum Financial Cap: In no event shall the aggregate liability of Soulmatesclub.com for all claims relating to the Service exceed the greater of $100 USD or the total amount paid by you to Soulmatesclub.com for the Service during the six (6) months immediately preceding the event giving rise to liability.

5. Governing Law and Dispute Resolution

• State of Florida Legislation: These Terms and Conditions, and any dispute or claim arising out of or in connection with them or their subject matter, shall be governed by, construed, and enforced exclusively in accordance with the laws of the State of Florida, USA, without regard to its conflict of law principles.
• Mandatory Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to this agreement, including its formation or breach, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. The place of arbitration shall be Miami, Florida, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
• Class Action Waiver: You explicitly agree that any arbitration or legal proceeding shall take place on an individual basis. Class arbitrations and class actions are not permitted, and you hereby waive your right to participate in a class-action lawsuit or class-wide arbitration against Soulmatesclub.com.

6. Account Termination

Right to Cancel. Soulmatesclub.com reserves the right to terminate or suspend your access to the Service immediately, without prior notice and without any refund, if we determine or suspect that you have violated these Terms or our community guidelines. You may delete your own account at any time in Settings.

7. Digital Millennium Copyright Act (DMCA) Policy

Copyright Infringement Notification

Soulmatesclub.com respects the intellectual property rights of others and expects its users to do the same. In accordance with the Digital Millennium Copyright Act of 1998 (DMCA), the text of which may be found on the U.S. Copyright Office website, Soulmatesclub.com will respond expeditiously to claims of copyright infringement committed using the Service that are reported to our Designated Copyright Agent.

If you are a copyright owner, or are authorized to act on behalf of one, please report alleged copyright infringements taking place on or through the Service by completing a DMCA Notice of Alleged Infringement and delivering it to our Designated Copyright Agent. Upon receipt of the Notice, Soulmatesclub.com will take whatever action, in its sole discretion, it deems appropriate, including removal of the challenged material from the Service.

How to File a DMCA Notice

Your DMCA Notice must include the following information:

1. Identification of the copyrighted work that you claim has been infringed, or, if multiple works are covered by this Notice, a representative list of the copyrighted works.
2. Identification of the material that you claim is infringing (or to be the subject of infringing activity) and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material (e.g., the specific user profile URL).
3. Your contact information, including your physical mailing address, telephone number, and, if available, email address.
4. A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
5. A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
6. A physical or electronic signature of the copyright owner or a person authorized to act on their behalf.

Repeat Infringer Policy

In accordance with the DMCA and other applicable law, Soulmatesclub.com has adopted a policy of terminating, in appropriate circumstances and at our sole discretion, the accounts of users who are deemed to be repeat infringers. We may also, at our sole discretion, limit access to the Service and/or terminate the accounts of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.

8. Intellectual Property Rights

Ownership of the Service

All rights, title, and interest in and to Soulmatesclub.com and its components—including but not limited to the website design, text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, software, algorithms, and source code—are the exclusive property of Soulmatesclub.com or its licensors. These elements are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Trademarks and Brand Protection

The name “Soulmates Club”, “Soulmatesclub.com”, the corporate logo, slogans, and all related graphics are trademarks or trade dress of Soulmatesclub.com. You may not use, copy, imitate, or frame these trademarks, in whole or in part, without our prior written consent. All other trademarks, product names, and company names or logos mentioned on the Service are the property of their respective owners.

Limited License to Users

Subject to your strict compliance with these Terms and Conditions, Soulmatesclub.com grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and personally use the Service. This license does not include any right to:

• Decompile or Reverse Engineer: Disassemble, decompile, or reverse engineer any software or algorithms used to provide the Service.
• Data Mining and Scraping: Use any data mining, robots, spiders, scrapers, or similar data gathering or extraction methods to collect information from the platform.
• Commercial Exploitation: Reproduce, duplicate, copy, sell, resell, or otherwise exploit the Service or any portion of its content for commercial purposes without explicit authorization.

Any unauthorized use of the Service or its contents automatically terminates the limited license granted herein and may violate applicable intellectual property laws in the State of Florida and federal statutes.
